The general terms that govern access to and use of Alan's website, subscriptions, platform tools, and related services.

Important: These Terms include binding arbitration, a waiver of class proceedings, limitations of liability, and important disclaimers about medical emergencies, telehealth, and the nature of the services.

1. Acceptance of Terms
These Terms of Service govern your access to and use of the website, platform, and related services operated by Alan Health Technologies Inc. and its brands. By accessing or using the services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as any additional policies or disclosures that may apply to specific services.
If you do not agree to these Terms, you may not access or use the services.
2. Services Overview
The services may include access to wellness information, pharmacy coordination, technology-enabled tools, administrative support, and telecommunications support that facilitates interactions with independent healthcare providers or affiliated medical practices. Alan provides the platform and related support services, but does not itself provide medical care.
3. Eligibility and Availability
You may use the services only if you are at least 18 years old and located in a jurisdiction where the relevant services are made available. Access may be limited by state, product, provider licensure, or other legal and operational constraints. Availability may change at any time.
4. No Medical Advice; Emergency Notice
Content made available through the services is for general informational purposes only and is not medical advice. Alan does not establish a provider-patient relationship with you by making platform services or content available. If you are experiencing a medical emergency, do not use the services; call 911 or contact your physician immediately.
5. Relationship with Providers and Pharmacies
If you receive healthcare services through the platform, those services are provided by independent or affiliated healthcare providers or entities responsible for their own professional judgment and care delivery. If you receive a prescription, fulfillment may be provided by a partner pharmacy or another pharmacy you select, subject to applicable requirements.
6. Insurance and Financial Responsibility
Unless expressly stated otherwise, services are offered on a cash-pay basis and are not billed to commercial insurance, Medicare, Medicaid, or other government healthcare programs. You are solely responsible for all fees and charges associated with the services, products, consultations, prescriptions, and related transactions.
7. Accounts and Registration
You may be required to create an account to access certain features. You agree to provide accurate, current, and complete information and to maintain the confidentiality of your login credentials. You are responsible for all activity that occurs under your account and must notify us promptly of any suspected unauthorized access or security breach.
8. Payments, Orders, and Subscriptions
You authorize Alan and its service providers to charge your selected payment method for applicable fees, including recurring subscription fees where relevant. Certain products or services may automatically renew unless canceled in accordance with the applicable cancellation terms. We may limit quantities, reject or modify orders, correct pricing errors, and issue refunds or credits where appropriate in our discretion or as required by law.
9. Intellectual Property and Limited License
As between you and Alan, Alan and its licensors retain all right, title, and interest in the services, including all content, design, software, functionality, trademarks, graphics, and other proprietary materials. Subject to your compliance with these Terms, you are granted a limited, personal, revocable, non-exclusive, non-transferable license to access and use the services for your own personal, non-commercial use.
10. User Content
To the extent you submit information, feedback, messages, or other content through the services, you represent that you have the right to do so and that such content is accurate and lawful. Except as limited by applicable law or by our privacy-related commitments, you grant Alan the rights reasonably necessary to use such content to operate, improve, market, and support the services.
11. Acceptable Use
You agree not to misuse the services. Without limitation, you may not use the services to violate law, infringe rights, impersonate others, interfere with platform security, upload malicious code, scrape or reverse engineer the platform, transmit unlawful or abusive content, or otherwise use the services beyond the scope expressly permitted by these Terms.
12. Disclaimers
To the fullest extent permitted by law, the services are provided on an "as is" and "as available" basis. Alan and related parties disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, reliability, and uninterrupted access. We do not guarantee that the services will be error-free, secure, or continuously available.
13. Limitation of Liability
To the fullest extent permitted by law, Alan and related parties will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profits, revenues, data, goodwill, or business interruption arising from or related to the services. Where liability cannot be fully disclaimed, the total liability of Alan and related parties will not exceed the greater of one hundred dollars (US $100) or the amount you paid to Alan for access to the services in the twelve months preceding the claim.
14. Indemnification
You agree to indemnify, defend, and hold harmless Alan and related parties from third-party claims, losses, damages, liabilities, costs, and expenses arising out of or relating to your misuse of the services, your violation of law or third-party rights, your fraud or misconduct, or your breach of these Terms.
15. Suspension and Termination
We may suspend, limit, or terminate your access to the services at any time, with or without notice, for any reason, including violations of these Terms. You may stop using the services at any time. Provisions that by their nature should survive termination will remain in effect after termination.
16. Governing Law, Arbitration, and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles, except as otherwise required by applicable law. Except for limited exceptions stated in the original governing terms, disputes arising from or relating to the services or these Terms are subject to binding individual arbitration. By using the services, you waive the right to trial by jury and participation in class, consolidated, or representative actions to the fullest extent permitted by law.
New users may have a limited right to opt out of arbitration within the time period stated in the governing terms by sending the required notice to the designated email and mailing address.
17. Text, Email, and Electronic Communications
By providing your contact information or opting in, you consent to receiving service-related communications and, where permitted and elected, promotional communications by email, text message, or other electronic means. Service-related communications may include order updates, shipping notifications, authentication codes, provider messages, and account notices. Standard message and data rates may apply. Some communications may not be encrypted, and you accept the associated risks of electronic transmission.
18. Miscellaneous
We may update these Terms from time to time, and updated terms will become effective when posted unless a different effective date is stated or applicable law requires additional notice. Headings are for convenience only. If any provision is found unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law. Our failure to enforce any provision is not a waiver. You may not assign your rights under these Terms without our consent, but we may assign these Terms in connection with a merger, sale, or transfer of business assets.
